This Website Design Agreement ("Agreement") is entered into between Lawds Websites ("LAWDS," "we," "our," or "us") and the client identified below ("Client"). It governs all design and development work performed by LAWDS unless replaced by a separate signed contract.
1. Client & Business Information
Before work begins, Client provides the following, which becomes part of this Agreement:
- Legal business name and DBA (if any)
- Primary contact name, email, and phone number
- Business address and service area
- Desired domain name and existing hosting/registrar access
- Billing contact and preferred payment method
Client is responsible for keeping this information current and for the accuracy of all details supplied.
2. Project Scope
The scope of work is defined by the package Client purchases (Basic, Standard, Monthly Maintenance Service, Custom Care, or Off-Boarding Training) together with any written addendum agreed by both parties.
Anything not expressly listed in the purchased package or addendum is out of scope. Out-of-scope requests — additional pages, new features, third-party integrations, custom development, copywriting, photography, or ongoing marketing — may be quoted separately and require written approval before work proceeds.
3. Deliverables
Unless the purchased package states otherwise, deliverables include:
- A responsive website built to the agreed page count
- Design schema (colors, typography, layout system) applied site-wide
- Domain set-up and connection
- Standard on-page SEO basics (titles, descriptions, alt text)
- Contact and/or booking functionality as included in the package
- A preliminary preview for Client review prior to launch
4. Timeline
Estimated timelines begin only after LAWDS receives the deposit and all required Client materials (content, photos, services, hours, pricing, and access credentials).
- Preliminary preview: typically 5–10 business days after intake is complete
- Revision rounds: typically 2–3 business days per round
- Launch: within 5 business days of final written approval and full payment
Timelines are estimates, not guarantees. Delays caused by missing content, slow feedback, third-party providers, or expanded scope extend the timeline accordingly. If Client does not respond for 30 consecutive days, the project may be placed on hold and a reactivation fee may apply.
5. Revision Limits
Each project includes two (2) rounds of revisions on the preliminary preview. A revision round is a single consolidated list of requested changes.
Additional rounds, redesigns after approval, or changes to the approved direction are billed at LAWDS's then-current hourly rate and require written approval before work begins.
6. Payment Schedule
All payments are made in full through LAWDS's secure on-site checkout or an issued invoice. Recurring plans, such as the Monthly Maintenance Service, bill monthly in advance until cancelled. Fees are non-refundable once work on the corresponding phase has begun. Invoices unpaid for 15 days may result in suspended work, and unpaid balances may result in removal of the site or withheld transfer of files.
7. Ownership & Intellectual Property
Client retains ownership of all content, logos, trademarks, and materials Client supplies. Client grants LAWDS a license to use those materials for the purpose of building, hosting, maintaining, and showcasing the project.
All designs, layouts, code, assets, and concepts created by LAWDS remain the property of LAWDS until all invoices are paid in full. Upon final payment, Client receives ownership of the final delivered website files and design, excluding LAWDS's underlying tools, templates, frameworks, and reusable components, which remain licensed to Client for use on the delivered site only.
Third-party software, fonts, plugins, and stock media remain subject to their own licenses. Unless Client requests otherwise in writing, LAWDS may display the completed project in its portfolio.
8. Cancellation Terms
Either party may cancel this Agreement with written notice. If Client cancels, the deposit is non-refundable and Client is responsible for all work completed up to the cancellation date, billed at LAWDS's hourly rate where the project has progressed beyond the deposit.
If LAWDS cancels for reasons other than Client breach, Client is refunded any prepaid amounts for work not yet performed. Ownership of unpaid work product does not transfer upon cancellation. Recurring plans may be cancelled at any time and remain active through the end of the paid billing period.
9. Limitation of Liability
To the fullest extent permitted by law, LAWDS's total liability under this Agreement shall not exceed the total fees paid by Client for the specific project giving rise to the claim.
LAWDS shall not be liable for any indirect, incidental, special, punitive, or consequential damages, including lost profits, lost revenue, lost data, business interruption, search ranking changes, or third-party service failures. LAWDS makes no guarantee of traffic, rankings, leads, sales, or conversions.
10. General Terms
This Agreement is governed by the laws of the State of California, with venue in Riverside County. Client agrees to indemnify and hold harmless LAWDS as described in our Disclaimer & Legal Terms, which is incorporated by reference along with our Terms of Service and Privacy Policy.
By paying a deposit, submitting the onboarding form, or authorizing work, Client acknowledges having read, understood, and agreed to this Agreement.
